Signing the Contract
簽訂合同
Seller: Morning, Mr. Smith, glad to see you in our office. I'm so happy we have reached final agreement on our Chinese kite products after friendly negotiation.
早上好，史密斯先生，很高興你能來(lái)我們公司。經(jīng)過(guò)友好地談判，很高興我們就產(chǎn)品最終達(dá)成了一致。
Buyer: Morning, Mr. Wang. Wish to cooperate successfully with mutual benefits from now. I'm coming here to visit you for signing the contract today.
早上好，王先生。希望從現(xiàn)在起，我們能實(shí)現(xiàn)合作共贏。我今天來(lái)是為了簽合同的事宜。
Seller: Wonderful! I've prepared a draft contract. Please have a look and let us know anything you are not clear about.
太好了!合同草案我已經(jīng)準(zhǔn)備好了，請(qǐng)你看一下，如果有不清楚的地方請(qǐng)?zhí)岢鰜?lái)。
Buyer: Thank you. (After going through it carefully) Well, there is something we should add to this provision: “If one side fails to honor this contract, the other side is entitled to cancel this contract.” Do you think so?
謝謝。(仔細(xì)看了之后)我們應(yīng)該再加一條：“如果任意一方違背合同條款，另一方有權(quán)終止合同。”你覺得呢?
Seller: Certainly. I shouldn't have ignored it. We should include this provision in it. Anything else you've noticed?
當(dāng)然。我怎么把這給忘了呢。我們應(yīng)該把這條加進(jìn)去。還有什么問題嗎?
Buyer: Quality is the most important item, but it is not so clear in our contract. We prefer a quality guarantee by sample instead of a simple description. And the quality certificate should be issued by SGS. Additional clause should be included in the contract: “Quality must be in conformity with the sample sent by the seller. Weight and Quality certificates must be issued by SGS.”
質(zhì)量條款是最重要的一項(xiàng)，但是合同里并沒有講清楚。最好是有樣品作為質(zhì)量保證，而不僅僅只用簡(jiǎn)單的描述。質(zhì)量證書應(yīng)由SGS認(rèn)證。還應(yīng)該另外加一條條款：“產(chǎn)品質(zhì)量必須和賣方所發(fā)樣品一致。重量和質(zhì)量證書須由SGS認(rèn)證。”
Seller: Just take care. We want to do long-term business with you, not only one time. Quality guarantee is also our most important effort. We agree to amend the quality item: “quality must be in conformity with the sample sent by the seller”, but if the Weight and Quality certificates are issued by SGS, we will spend more inspection cost. If you insist, it should be clear that additional fee of the inspection certificates should be responsible by the buyer. We suggest revising SGS into CIQ. Do you agree?
等等。我們是想和你們長(zhǎng)期合作而不僅僅是眼下這一次。質(zhì)量保證也是我們最用心的方面。我們同意把質(zhì)量條款改為：“產(chǎn)品質(zhì)量必須和賣方所發(fā)樣品一致”，但如果重量證書和質(zhì)量證書都要經(jīng)過(guò)SGS認(rèn)證，我們就要花更多的檢驗(yàn)成本。如果你方堅(jiān)持如此，那么證書認(rèn)證產(chǎn)生的額外費(fèi)用應(yīng)由貴方承擔(dān)。貴方是否同意將SGS 認(rèn)證改成CIQ認(rèn)證?
Buyer: OK. CIQ is also in good reputation. Just add like this: “Quality must be in conformity with the sample sent by the seller. Weight and Quality certificates must be issued by CIQ or SGS.”
可以，中國(guó)檢疫檢驗(yàn)也信得過(guò)。那就加這么一條吧：“產(chǎn)品質(zhì)量必須和賣方所發(fā)樣品一致。重量和質(zhì)量須經(jīng)CIQ或SGS認(rèn)證。”
Seller: OK. Anything else?
好，還有別的問題嗎?
Buyer: There is one more thing to make clear. I'd like to know in case of claims, which institution in China will handle arbitration.
還有一件事要弄清楚。我想知道一旦發(fā)生索賠，中國(guó)的哪個(gè)部門能處理仲裁?
Seller: Oh, suppose we have a dispute, we can resolve the case by submitting the dispute to the China International Economic and Trade Arbitration Commission.
噢，假設(shè)我們產(chǎn)生了糾紛，我們可以提交中國(guó)國(guó)際經(jīng)濟(jì)和貿(mào)易仲裁委員會(huì)處理。
Buyer: Arbitration should be settled by a recognized independent third international organization accepted by both the seller and the buyer.
仲裁應(yīng)由買賣雙方都接受的第三方獨(dú)立國(guó)際權(quán)威機(jī)構(gòu)處理。
Seller: OK. I agree.
好，我同意這一點(diǎn)。
Buyer: OK, I think we've got everything clear now. I hope we can sign it very soon.
好，現(xiàn)在應(yīng)該沒有任何問題了。希望我們能盡快簽訂下來(lái)。
Seller: Thank you. We'll contact you as soon as the formal contract is ready.

Three hours later, Mr. Wang and Mr. Smith go to a hotel. They are ready to sign the contract with a conversation around a dinner table.
過(guò)了三個(gè)小時(shí)，王先生和史密斯先生約定在餐館共進(jìn)晚餐，并商談簽訂合同事宜。
Seller: We have finally come to this moment! I am so excited.
終于等到這一刻了!心情好激動(dòng)。
Buyer: Yes, I've been looking forward to it too.

Seller: Each of us will sign two formal copies of the contract: the Chinese copy and the English one. Here they are. Please check it again and sign it here and here.
我們雙方都將簽訂中英雙語(yǔ)兩份正式合同。合同都在這了，你再核對(duì)一下就可以在這里和這里簽字了。
Buyer: (After some minutes of checking and signing) We've made it at last. Allow me to propose a toast to the success of our business and to our future cooperation. Cheers!
